OMD Practice Hub Terms of Use

1.0 INTRODUCTION & ACCEPTANCE

These terms and conditions govern your use of the OntarioMD’s OMD Practice Hub (the “OMD Practice Hub”). By using the OMD Practice Hub, you accept and agree to these conditions in full. Do not use or access the OMD Practice Hub if you do not agree with these terms and conditions.

The OMD Practice Hub is a service of OntarioMD Inc. (hereafter, “OntarioMD”, “we”, “us”, or “our”). As used herein, all references to “OntarioMD” mean OntarioMD Inc. and its related or affiliated entities, and their respective directors, officers, representatives, employees, consultants, agents, service providers, suppliers and licensors.

These OMD Practice Hub Terms of Use ( “Terms”) also include the OntarioMD Privacy Policy at https://www.ontariomd.ca/legal-agreements/privacy-policy, which is incorporated by reference and forms part of these Terms.

2.0 PARTICIPATION

The OMD Practice Hub provides access to resources and information for clinicians and other stakeholders (collectively, “users”, and individually “you”) in the healthcare sector and more specifically, users of artificial intelligence-enabled (“AI”) tools and related products/services.

OntarioMD reserves the sole right and discretion to restrict access to the OMD Practice Hub (in whole or in part), or otherwise revoke access, without notice or explanation.

3.0 INTELLECTUAL PROPERTY

Except for copy and graphics owned by the suppliers, and unless otherwise stated, all information in the OMD Practice Hub including, but not limited to: data, text, graphics, images, software, code, metadata, links, and audio/video files forming part of the OMD Practice Hub (collectively, the “Content”) provided through the OMD Practice Hub are the sole property of OntarioMD or the respective providers of such Content. The Content is protected by copyright and other applicable laws. Certain names, graphics, logos, icons, designs, words, titles, or phrases displayed in the OMD Practice Hub may also constitute trade names, trademarks, or service marks registered in Canada, or elsewhere. The display of third-party trademarks on the OMD Practice Hub does not imply any licence has been granted to you for their use. Any unauthorized downloading, re-transmission, or other copying or modification of trademarks and/or any of the Content herein may be a violation of federal or common law, and/or trademark and/or copyright laws and could subject the person to legal action.

Except as is expressly permitted in these Terms or as may be authorized in writing by a Content supplier, you shall not (and shall not permit any other person) to, in any way or by any means do the following:

sell, lease, rent, market, license, sub-license, export or transfer such Content
reproduce, redistribute, retransmit, publish, transfer, upload, post, frame or commercially exploit such Content
use Content in any manner that is competitive with the business activities of the supplier of such Content
remove, alter, or obscure any proprietary notices or disclaimers displayed with the Content
modify or prepare derivative works of the Content (or any portions thereof) except as is expressly permitted herein
reverse-engineer, decompile or disassemble the Content (or any portions thereof)
use the Content in violation of any applicable laws or regulations

All persons accessing and using the OMD Practice Hub agree to abide by all copyright notices and use restrictions contained on the OMD Practice Hub and in any Content on, or material accessed through, the OMD Practice Hub. Modification of the Content or use of the Content for any purpose (including use of any such Content on any other website or networked computer environment) other than expressly permitted herein is a violation of copyright and other proprietary rights. You will not use the OMD Practice Hub or its Content to collect, transmit, store, or exchange any material in violation of any applicable law or regulation, including material protected by copyright, trademark, trade secret, or other intellectual property rights, without proper authorization. You will use the OMD Practice Hub and its Content ethically.

Except as expressly set out in these Terms, you are not granted any rights in the Content. OntarioMD and the respective Content suppliers retain full and complete copyright in and title to the Content and all other intellectual property rights therein. The content on this website is governed by the Copyright Act (Canada). Details about copyright ownership are indicated on the relevant page(s). 4.0 ACCEPTABLE USE

You must not use the OMD Practice Hub in any way which is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity, including, but not limited to, scraping, mining, or introducing viruses or other malicious code. You must not use the OMD Practice Hub to copy, store, host, transmit, send, use, publish or distribute any malicious software including, but not limited to, computer viruses, spyware, worms, Trojan horses, keystroke logs, rootkits or any other malware. OntarioMD assumes no liability or responsibility for any use of the OMD Practice Hub to violate the laws of Canada, the Province of Ontario, or the jurisdiction through which you access the Content.

You must not use the OMD Practice Hub in any way that causes, or may cause, damage to the OMD Practice Hub or impairment of the availability or accessibility of the OMD Practice Hub .

Content provided on the OMD Practice Hub may be viewed and used only for its intended purposes. You are responsible for your use of the OMD Practice Hub and any consequences arising from those activities, or for any misuse, failure to properly use, unauthorized viewing, use or disclosure of information, or inability to use the OMD Practice Hub, and any Content contained therein, or accessed thereby.

Unless OntarioMD has provided you with its express consent, you must not use the OMD Practice Hub for any purposes related to marketing, to transmit or send unsolicited commercial communications, or for any data collection activities.

5.0 LINKS

Some hyperlinks (“link(s)”) on the OMD Practice Hub may connect you to external domains/websites, including to Supply Ontario’s Vendor of Record Program. Such linked websites are provided for your convenience and are entirely independent from omdpracticehub.com and the existence of any link shall not be construed as any reflection on, any affiliation with, approval of, or endorsement by OntarioMD of any such website/domain or entity, or its information, publications, products or services. OntarioMD supports Supply Ontario’s Vendor of Record Program, but does not directly control, monitor, approve, or endorse any content owned wholly by Supply Ontario. OntarioMD is not responsible for the accuracy or reliability contents of any site linked to OntarioMD.ca or for any further link(s) contained in a linked site. OntarioMD is providing these links to you only as a convenience and the inclusion of any link does not imply endorsement by OntarioMD of the linked site or the entity or entities owning or operating such site. When linking to a third-party site, you are leaving the privacy coverage of the OMD Practice Hub and are subject to the privacy coverage and security (if any) of the third-party site. OntarioMD cannot and does not guarantee that the third-party OMD Practice Hub privacy statement provides similar, or as much, privacy as the OMD Practice Hub. When accessing a third-party site, you should review the privacy policies of those sites before providing your personal information.

6.0 SUBMISSIONS

In these Terms, the term “Submissions” refers to any materials including, but not limited to: text, images, audio material, video material, audio-visual material, information, suggestions, comments or ideas that you submit to the OMD Practice Hub for any purpose. This includes material that may be submitted through weblogs (“Blogs”) but does not include advertising copy and information provided by AI vendors, excluding where such content relates to the province of Ontario’s Vendor of Record Program, as may be amended from time to time.

Any Submissions you provide must be truthful and respectful and not motivated by third party incentives of any kind. Where you are making a submission on behalf of another party, you must be entitled to do so on that party’s behalf. By placing Submissions in the OMD Practice Hub , you acknowledge that OntarioMD will not return them to you. You acknowledge and agree that your Submissions will become the property of OntarioMD. OntarioMD shall exclusively own all rights to the Submissions and shall be entitled to unrestricted use of the Submissions for any purpose whatsoever, without compensation to you. By providing the Submissions, you assign all copyright in and to the Submissions to OntarioMD and you waive all moral rights in the Submissions.

You must not submit any content to the OMD Practice Hub that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint. By entering Submissions on the Website, you are representing and warranting that you have all necessary rights and permissions to do so, and you indemnify and hold OntarioMD harmless from any claims arising from your submissions.

OntarioMD reserves the sole right and discretion to remove any material submitted to the OMD Practice Hub , stored on OntarioMD servers, or hosted or published upon the OMD Practice Hub without notice.

7.0 NO WARRANTIES

ONTARIOMD EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING ANY OF THE IMPLIED WARRANTIES OF COMPLIANCE WITH DESCRIPTION, FUNCTIONALITY, NON-INFRINGEMENT OR FITNESS FOR ANY PURPOSE WITH RESPECT TO ANY PRODUCTS OR SERVICES ADVERTISED IN THE OMD PRACTICE HUB. YOU ACKNOWLEDGE THAT ONTARIOMD HAS NOT VETTED ANY PRODUCTS OR SERVICES OR THE SELLERS THEREOF FOR COMPLIANCE WITH ANY PARTICULAR FUNCTIONALITY OR STANDARDS, EXCEPT IN ITS SUPPORT TO THE PROVINCE OF ONTARIO’S VENDOR OF RECORD PROGRAM.

While OntarioMD endeavours to provide Content that is correct, accurate and timely, no representations or warranties are made regarding the OMD Practice Hub and/or the Content including, without limitation:

the OMD Practice Hub or Content will be accurate, reliable, complete, current, timely or suitable for any particular purpose,
the operation of the OMD Practice Hub will be uninterrupted or error-free,
defects or errors in the OMD Practice Hub or the Content will be corrected,
the OMD Practice Hub will be free from viruses, malware, worms or other harmful components; or
communications to or from the OMD Practice Hub will be secure and/or not intercepted.

YOU ACKNOWLEDGE AND AGREE THAT YOU ARE USING THE OMD PRACTICE HUB AND THE CONTENT AND THE PRODUCTS AND SERVICES YOU PURCHASE AFTER HAVING REVIEWED THEM ON THE OMD PRACTICE HUB, IF APPLICABLE, AT YOUR OWN RISK AND LIABILITY.

The information provided on this website is for educational and information purposes only. Nothing on the OMD Practice Hub constitutes, or is meant to constitute, advice of any kind including, but not limited to, legal, medical, or financial advice. Never disregard professional advice or refrain from seeking professional advice because of something you have read on the OMD Practice Hub.

8.0 LIMITATIONS OF LIABILITY

OntarioMD has endeavoured to provide information on this site that is reliable and accurate at the time of posting. OntarioMD is not obligated to monitor the products or services referred to on this site. OntarioMD does not guarantee the quality, accuracy, completeness, timeliness, appropriateness or suitability of the information provided. While we will endeavour to remedy any factual or typographical errors, inaccuracies, or omissions, OntarioMD assumes no obligation to update the information or advise on further developments. Information contained on the website may be changed from time to time without notice.

OntarioMD does not undertake to update, modify, or clarify information on the website, except as required by law.

Subject to applicable law, in no event shall OntarioMD, its officers, partners, employees, consultants, agents, or licensors be liable for damages of any kind including, without limitation, any direct, special, indirect, punitive, incidental or consequential damages. The foregoing limitation shall apply even if OntarioMD knew of or ought to have known of the possibility of such damages.

9.0 REASONABLENESS

By using the OMD Practice Hub, you agree that these Terms are reasonable. Do not use the OMD Practice Hub if you think that these Terms are unreasonable.

10.0 SEVERABILITY

If any provision of these Terms shall be found to be unlawful, void or unenforceable, then such provision shall be deemed severable here from and will not affect the validity and enforceability of any remaining provisions.

11.0 INDEMNIFICATION

To the maximum extent permitted by applicable law, you will defend, indemnify and hold OntarioMD harmless from and against all claims, liability, and expenses, including all legal fees and costs, arising from:

any material breach of these Terms by you,
your use or misuse of the OMD Practice Hub, the Content, or any product or service advertised in the OMD Practice Hub, or
Content submitted by you and its inclusion on the OMD Practice Hub.

12.0 PRIVACY

Your use of the OMD Practice Hub is subject to the terms of OntarioMD’s Privacy Policy, as amended from time to time by OntarioMD. Please read our Privacy Policy carefully. OntarioMD does not sell, rent, or lease its mailing lists to third parties, and will not provide your personal information to any third parties except as set out in the OntarioMD Privacy Policy or in an agreement with you.

The OMD Practice Hub is not a medium for the collection, use or disclosure of personal information in respect of any patients. Do not submit any personal information about patients to the OMD Practice Hub in any manner. In no event shall OntarioMD otherwise collect, use or disclose any patient information in your custody or control.

You acknowledge that your use of the OMD Practice Hub may form part of your Ontario Medical Association membership data.

13.0 DISCLAIMERS REGARDING VENDORS & PRODCUTS AND SERVICES

OntarioMD does not vet or endorse any vendors that may be referred to or listed from time to time on the OMD Practice Hub. Clinicians and other users should conduct their own due diligence and assessments before engaging with any vendors or purchasing any products or services, and where you are engaging in the Vendor of Record Program, work with Supply Ontario to make assessments on whether purchasing a vendor’s products or services is right for you.

Any requirements imposed on vendors through the Vendor of Record Program are based on assessments made according to regulations applicable in Ontario and Canada, for primary care clinicians only. By using the OMD Practice Hub, OntarioMD does not guarantee that vendors comply with applicable laws and regulations or that these tools are helpful or meet the needs of all clinicians.

OntarioMD is not selling any products or services on the OMD Practice Hub. OntarioMD is not responsible for any disputes, issues, or liabilities arising from any transactions between vendors and clinicians and or Supply Ontario.

14.0 SECURITY

By using the OMD Practice Hub, you recognize and agree that:

The internet is not a secure medium. Accordingly, the privacy of your communications (including, but not limited to, communications by secure e-mail), the privacy of your visits to the OMD Practice Hub, and the privacy of your use of Content or any products or services mentioned in the OMD Practice Hub cannot be guaranteed.
The nature of Internet communications means that your communications (including but not limited to communications by secure e-mail service) may be susceptible to data corruption, unauthorized access, interception and delays; the OMD Practice Hub and the Content may include incomplete information, inaccuracies or typographical errors; and OntarioMD and any other party involved in the management of the OMD Practice Hub may make changes to the OMD Practice Hub and the Content and advertising information therein at any time without notice.

15.0 ENTIRE AGREEMENT

These terms and conditions of use and any policies, guidelines or other agreements posted or provided by OntarioMD in the OMD Practice Hub constitute the entire agreement between OntarioMD and you with respect to your use of the OMD Practice Hub. Notwithstanding the foregoing, any products or services mentioned in the OMD Practice Hub which you use shall be subject to all terms and conditions relating to such product or service imposed by the providers of such products and services, or the Vendor of Record Program, where applicable.

16.0 JURISDICTION

You agree and acknowledge that your use of the OMD Practice Hub, any Content, and any products or services mentioned in the OMD Practice Hub shall be deemed to have occurred and taken place solely in the Province of Ontario, Canada. You further agree and acknowledge that these Terms, and any disputes in connection or arising from with these Terms, and documents incorporated by reference in these Terms, your use of the OMD Practice Hub, any of its Content or any products or services made available through the OMD Practice Hub, will be governed by the laws of the Province of Ontario, Canada, and the laws of Canada applicable therein. You expressly consent to the exclusive forum, jurisdiction, and venue of the courts of Ontario in any and all actions, disputes, or controversies relating hereto.

17.0 ADVERTISEMENTS AND PROMOTIONS

To the extent that you choose to deal with advertisers or participate in promotions on the OMD Practice Hub, any terms, conditions, representations or warranties associated with your dealings are strictly between you and the advertiser. OntarioMD hereby disclaims any responsibility or liability in respect of such dealings.

18.0 REGISTRATION

To sign up for access to the OMD Practice Hub, including without limitation, to subscribe to any newsletters or publications and to register any events, you may be asked to complete an online registration form. You agree to provide true, current, complete and accurate information as requested on any registration form to which the OMD Practice Hub may direct you, and to update that registration information as soon as possible after any information on such registration form changes.

19.0 SURVIVAL

All of the provisions of these Terms (and any documents incorporated by reference) that by their nature are intended to survive, including but not limited to disclaimers, limitations on liability and indemnifications but not warranties, shall survive termination of these Terms or removal or modification of the OMD Practice Hub and you agree to remain bound by those provisions.

20.0 CHANGES AND TERMINATION

OntarioMD reserves the right, at any time, to modify or discontinue, temporarily or permanently, the OMD Practice Hub (or any part thereof) with or without notice. Further, OntarioMD reserves the right to change these Terms at any time and to notify you by posting an updated version of the Terms on the OMD Practice Hub. You are responsible for regularly reviewing the Terms, including, without limitation, by checking the date of “Last Update” at the top and bottom of this document. Continued use of the OMD Practice Hub after any such changes shall constitute your consent to be bound by such changes, with continued provision of the use of the OMD Practice Hub constituting consideration from OntarioMD to you for so being bound. Your only right with respect to any dissatisfaction with (1) these Terms, (2) any policy or practice of ours in operating the OMD Practice Hub or (3) any content or products or services available through or mentioned in the OMD Practice Hub, is to stop visiting and using the OMD Practice Hub.

21.0 NOTICE OF CHANGES

Notices to you may be made via email or regular mail, or in cases of changes to these Terms or to the products and services offered by the OMD Practice Hub, or by posting notices or links to such notices on the OMD Practice Hub itself.
